General Terms and Conditions of Sale

MYQAA SAS Company - Eventdrive Platform

These General Terms and Conditions of Sale (hereinafter the "T&Cs") govern the use of the Eventdrive event management SaaS software, published by the company MYQAA (hereinafter the "Publisher"). Any subscription to the Service implies unconditional acceptance of these T&Cs.

1. Purpose

The purpose of these T&Cs is to define the terms under which the Publisher provides the Client with access to the Eventdrive platform (hereinafter the "Service"), a SaaS software dedicated to event management.

2. Description of the Service

The Service enables the Client to organize, plan, promote, and analyze professional events. The main features include:

  • Event creation and management

  • Sending invitations

  • Registration and participant management

  • Interactive services

  • Event data analysis

  • Report generation

3. Conditions of Access to the Service

3.1. The Service is accessible online via a user account assigned to the Client.

3.2. The Client is responsible for protecting their login credentials.

3.3. The Publisher commits to providing access to the Service in accordance with generally recognized security and availability standards.

4. Financial Terms

4.1. Pricing: The Service is billed according to the terms agreed upon at the time of subscription.

4.2. Billing: Unless otherwise specified in a contract, the Product is billed on the date of the order. The price is payable in full in a single installment within 30 days of the invoice date. Payments must be made by bank transfer or any other method agreed between the parties.

4.3. Late payment: In the event of late payment, penalties may be applied in accordance with applicable law.

4.4. Price changes: The Publisher reserves the right to change the Service prices. Any pricing change will be notified to the Client at least thirty (30) days before it takes effect. In case of disagreement, the Client may terminate their contract in accordance with the provisions of Article 10.

5. Publisher's Obligations

5.1. The Publisher commits to providing the Service in accordance with its technical and commercial documentation.

5.2. The Publisher ensures reasonable availability of the Service, subject to scheduled maintenance and events beyond its control.

5.3. The Publisher guarantees the security of the processed data in compliance with applicable legislation.

6. Client's Obligations

6.1. The Client agrees to use the Service according to its intended purpose and in accordance with these T&Cs or any established contract.

6.2. The Client is responsible for the accuracy and legality of the data they process through the Service.

6.3. The Client agrees to respect the intellectual property rights of the Publisher.

7. Intellectual Property

7.1. The Publisher retains full intellectual property rights over the Service and its components.

7.2. The Client has no rights to reproduce, modify, or exploit the Service beyond what is strictly necessary for its use.

8. Data Protection

8.1. The Publisher acts as a data processor for the data collected by the Client through the Service.

8.2. Data processing is carried out in accordance with applicable regulations (notably the GDPR).

9. Liability

9.1. The Publisher shall not be held liable for indirect damages resulting from the use of the Service.

9.2. The Publisher’s liability is limited to the amount paid by the Client for the current subscription period.

10. Duration and Termination

10.1. The contract is concluded for the duration specified at the time of subscription and cannot be less than one year.

10.2. Each party may terminate the contract by written notice, subject to a notice period defined in the contract.

10.3. In the event of a serious breach, termination may be immediate.

11. Governing Law and Jurisdiction

These T&Cs are governed by French law. Any dispute relating to their execution shall be submitted to the competent courts of Paris.

12. Acceptance of the T&Cs

The Client acknowledges having read and unconditionally accepted all the provisions of these T&Cs.
